Pasta Company

You can choose to be a(n) Pasta Company :

  • Sole Proprietor,
  • LLC,
  • Corporation or
  • Partnership.
After you decide and select your business entity, you need licensing.

Findlay Business Tax Registration ( Pasta CompanyBusiness License)
All businesses including home, online or mobile BUSINESS need a BUSINESS license because they are BUSINESSES.

A(n) Pasta Company business using a fictitious business name in Hancock County i.e. you are a business that uses a DBA doing business as trade name to trade that is other than the full legal (first and last -- full name) name of a sole proprietor or a name other than the LLC or Corporation business name need a(n) fictitious business name. ย  For instance you open a(n) Pasta Company business and you name it "Superior Pasta Company Group". You will need to file a fictitious business name for that name.

In addition note that in OH Pasta Company you may also need a seller's permit if you sell merchandise that is taxable. ย (A.K.A state id, wholesale, resale, reseller certificate, about $39 for most states). You will need it if you sell or want to buy wholesale any Pasta Company related items, such as food, materials, or merchandise.
Seller's Permit

Note: All businesses need a federal tax ID number except sole proprietors that are not employers and are not independent contractors.
An independent contractor is a self employed business person that receives more than $600 per year from anyone of his or her clients.
IRS rule: The client must issue a 1099 form to the independent contractor and the independent contractor must have a federal tax ID. However, even sole owners may obtain a federal ID and use it as a business tax ID instead of using their own social security number as a business tax ID number.
However, all other licenses that apply to sole proprietors as discussed here are requited regardless of getting a federal tax ID number.

In addition you will need a federal and a state EIN if you will hire employees. I.e., a OH Federal Tax Id Number ($29) and a(n) OH ย State Employer Tax Numberย ย

Instead of filing a fictitious business name DBA Filing (about $49 plus state and legal newspaper publication fees) in Findlay,ย Incorporate in OH ย orย  form a(n) OH LLC
.ย

Filing a DBA is not required if you will set up an LLC or form a Corporation. There is a cicrcumstance that you may not need to register a trade name and that is when you use your full name as a business name if you use your full legal name as a trade name.
Also note that even using your first and last name may not help you avoid filing a DBA if the name has a suffix such as "& sons" etc.

If you do form an Retail Home llc or incorporate (about $49 plus state fees for most states) your Pasta Company business instead of just filing a fictitious business name (dba), that insurs that you don't have personal liability for debts and civile liabililty arising from your business dealings and you will not have to record the Findlay business name. Instead of just registering your Hancock County assumed business name (our fee includes assumed business name registration and legal newspaper publication) you can choose to setup a corporation in OH or form an OH LLC (starts @ $49 plus state fee for most states & includes bylaws for the corporation and Limited Liability operating agreement for the LLC that is required to open a business bank account). .

Short answer: In Findlay, Ohio, businesses are required to obtain licensing before they start operating. For a pasta company, that means the Vendor's License, a federal tax ID number (EIN) and a local business license, plus a structure and name registration.

Buying and selling wholesale in Ohio

The Ohio version of the seller's permit is the Vendor's License. When you buy inventory to resell, the paperwork is a Form STEC B Sales and Use Tax Blanket Exemption Certificate. A vendor's license is required for retail sales; a business making only sales for resale may not need one. Ohio requires a vendor's license to make retail sales, and a resale exemption can be denied to an unlicensed buyer. Flour, eggs and packaging that become part of the pasta you sell can often be bought with a resale certificate, while mixers and cutters are taxed.

Your Findlay filing checklist

  1. LLC – suppliers and banks take an LLC more seriously than a name on a napkin
  2. Trade Name (DBA) – registers the trade name on your sign, website and invoices
  3. Federal tax ID number (EIN) – required for an LLC with partners or any business with employees
  4. Vendor's License – collect and report sales tax on retail sales
  5. Form STEC B Sales and Use Tax Blanket Exemption Certificate – keep a copy on file for every supplier you buy from tax-free
  6. State employer ID – for state income tax withholding and unemployment insurance
  7. Findlay business license – renewed every year; inspectors may visit if you sell food or work with the public
  8. Food processing license
  9. Food handler and health permits

Same permit, different names in other states

  • Arizona: the Transaction Privilege Tax (TPT) license. Arizona's TPT is a tax on the seller's privilege of doing business, not a tax on the buyer.
  • Texas: the Sales and Use Tax Permit. In Texas a customer's permit number alone is not a substitute for a signed resale certificate.
  • California: the seller's permit. A California resale certificate normally shows the buyer's seller's permit number; sellers accept it in good faith to skip tax.

Tip: Label every package with ingredients and allergens; the person with a wheat allergy is going to read it very carefully.
